Authorization to Access your Computer
You acknowledge that by your use of the Services, you are authorizing RemoteOver.com to access and control your computer for the purposes of computer diagnosis, service, and repair.
In connection with delivering the services, RemoteOver.com may download and use the software, gather system data, take remote control of your computer, and access or modify your computer settings. By accepting these terms, you hereby grant RemoteOver.com the right to connect to your computer, download and use the software on your computer to gather system data, repair your computer, take remote control of your computer and change the settings on your computer while performing the services. Other than as set forth in the warranty section below, you agree that RemoteOver.com has no responsibility or liability under any circumstance at any time for any loss or harm that may arise from or may be related to the services.
You are solely responsible for maintaining and backing up all information, data, text or other materials (collectively "customer data") and software stored on your computer and storage media before ordering the services. You acknowledge and agree that RemoteOver.com or its referral partners have no responsibility or liability under any circumstance at any time for any loss or corruption of customer data, software, or hardware that may arise out of the services. RemoteOver.com does not provide backup copies or support the installation of unlicensed software to customers. Please ensure that you have a licensed copy of all necessary software.
RemoteOver.com does not take any responsibility for any data that could be on any hard drives, memory drives, peripherals, or any other device. RemoteOver.com will attempt to back up or recover existing data, but cannot be held responsible for any data loss, whether it be by accident or intended. If necessary, RemoteOver.com may delete some or all files (data and software programs) to make the computer functional again.
Please understand some tasks are time-consuming (Thorough Diagnostics, Defragmentation, Moving Large amounts of Data, Data Back-ups, and Complete Virus scans), and depending on the speed of your PC or the severity, the time could vary, but we'll try our best to repair your computer/device in the most efficient way and in the least time possible.
We guarantee our services for 30 days (under normal use); however, this does not cover future hardware failures, software problems, future infections, or repairs caused by a virus, spyware, or malware; however, if there is a problem with the service provided to you and if you notify us immediately within the seven days, RemoteOver.com will work to remedy your problem at no additional cost.
A rework will be attempted one time on the original repair or service within the 30 day warranty period. A Manager will have to approve a second rework. If a second rework is not done, a refund will be given to the Customer.
A manager must approve a refund. If you are not satisfied with the service or after an attempted rework has been made, a refund will be issued. The time of refund is based on the credit card company. RemoteOver.com has no control over the time the credit card company takes.
We recommend keeping anti-virus, anti-spyware and anti-malware protection installed and updated, removing peer-to-peer programs (programs to download media), and improving browsing habits. Please be advised that virus, spyware, malware removal can result in the loss of infected operating system files, program files, and/or data files.
While we use reasonable security measures to deliver the Services, You understand and acknowledge that no data transmission over the Internet can be guaranteed to be 100% secure. In any event, we cannot guarantee that any personal information You submit to us will be free from unauthorized intrusion.
The Provider will not save any data or files belonging to the Client after the remote session has ended. Any files transferred to the Provider for the purposes of analysis or fault diagnosis will be erased after the remote session has ended. Each remote access PIN provided by the Provider to the Client will only remain active for one session.
Limited Liability. PROVIDER shall not be liable under any circumstances for any special, consequential, incidental, or exemplary damages arising out of or in any way connected with this agreement or the product, including but not limited to damages for lost profits, loss of use, lost data, phone bills, communication lines bills, loss of privacy, damages to the third party even if PROVIDER has been advised of the possibility of such damages. The foregoing limitation of liability shall apply whether any claims based upon principles of contract, warranty, negligence or breach of any statutory duty, principles of indemnity or contribution, the failure of any limited or exclusive remedy to achieve its essential purpose or otherwise.
The parties agree to hold each other's Proprietary or Confidential Information in strict confidence. "Proprietary or Confidential Information'' shall include, but is not limited to, written or oral contracts, trade secrets, know-how, business methods, business policies, memoranda, reports, records, computer retained information, notes, or financial information. The Customer will not disclose RemoteOver.com's Confidential Information to any third party at any time without the prior written consent of RemoteOver.com and shall take reasonable measures to prevent any unauthorized disclosure by its employees, agents, contractors, or consultants. Further, RemoteOver.com's Confidential Information shall include the terms set forth in this agreement, all of which shall remain the property of the Company and shall in no event be transferred, conveyed, or assigned to the Customer as a result of the services provided pursuant to this agreement. The foregoing duty shall survive any termination or expiration of this agreement.
Customer satisfaction by providing excellent service is our priority. Your business is very important to us, and we keep on working hard to offer you the best service and low prices to make this a pleasant experience. Thank you for taking the time to review the service agreement and your understanding of such. We reserve the right to refuse service.
For software installations, RemoteOver.com may accept the End User License Agreements (EULA) on your behalf.
Any service or repair made by RemoteOver.com may void the factory or supplemental warranty on your computer/device. RemoteOver.com recommends that the Customer contact the party that sold or manufactured the computer/device for information about services and repairs covered under warranty.
Depending on the health of components, age, quality, and current state, running diagnostics or otherwise working on the system could potentially cause irreparable damages such as the hard drive to die. If that is the case, RemoteOver.com is not responsible in the event of such misfortune.
You agree to pay the hourly rate / flat rate or up to the estimated amount should you choose to receive service. Please keep in mind an estimate is just that; a good faith educated approximation of how long a job may take (under normal operating conditions) or how much materials may cost. Service fees are non-refundable once the service process has begun (any cancellations must be made in advance and prior to us performing the service). Parts or Items that were purchased for service by RemoteOver.com are non-refundable. All Prices are Non-negotiable. Taxes are an additional 8.25 % added to the final sale price. An additional $35.00 fee will be collected for all returned checks.
Neither party will be liable for or will be considered to be in breach of or default under this agreement on account of any delay or failure to perform as required by this agreement as a result of any causes or conditions that are beyond such party's reasonable control and that such party is unable to overcome through the exercise of commercially reasonable diligence. If any force majeure event occurs, the affected party will give prompt written notice to the other party and will use commercially reasonable efforts to minimize the impact of the event.
Limitation of liability
To the extent permitted by law, you agree that RemoteOver.com's total liability for damages related to its services is limited to the total amount you pay for the services, and you release RemoteOver.com from liability for any indirect, incidental, special, or consequential damages. RemoteOver.com is not liable for damage, loss, alteration, or corruption of any data or loss of any media. Client shall indemnify and hold harmless RemoteOver.com (and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees) from any and all claims, damages, liabilities, costs, and expenses (including, but not limited to, reasonable attorneys' fees and all related costs and expenses) incurred by RemoteOver.com as a result of any claim, judgment, or adjudication against RemoteOver.com related to or arising from (a) any photographs, illustrations, graphics, audio clips, video clips, text, data or any other information, content, display, or material (whether written, graphic, sound, or otherwise) provided by Client to RemoteOver.com (the "Client Content"), or (b) a claim that RemoteOver.com use of the Client Content infringes the intellectual property rights of a third party. To qualify for such defense and payment, RemoteOver.com must: (i) give Client prompt written notice of a claim; and (ii) allow Client to control and fully cooperate with Client in the defense and all related negotiations.
RemoteOver.com may provide the same or similar services to other customers, and the Customer may utilize other information technology service providers that are competitive with RemoteOver.com.
Non-solicitation of Employees
Customers will not, either directly or indirectly solicit, hire, or contract with any employee of the Serving Company during the term of this agreement and for a one (1) year period following termination thereof (hereafter the "Non-solicitation Term"). Suppose Customer desires to directly hire any Company-employee during the Non-Solicitation Term. In that case, the Customer must first seek RemoteOver.com's consent to directly hire the employee and speak with RemoteOver.com employees about the employment opportunity. If RemoteOver.com grants the Customer the option to directly hire a RemoteOver.com employee, and the Company employee accepts an offer of employment from Customer, the parties shall discuss issues related to the employee's transition to Customer.
When a payment is not made by the due date, the account will be classified as past due. All clients will receive a 5-day grace period; within this grace period, you may contact RemoteOver.com to make a payment or make arrangements. Any payments made with a credit card within 30 days over $1000.00 will incur a 2.9% credit card processing fee. Late payment schedule: Payments made between 6 -30 days late will incur a $25.00 late fee Payments made between 31 -60 days late will incur a $50.00 late fee Payments made between 61 -90 days late will incur a $75.00 late fee. For accounts that are more than 91 days late, the $75 late fee will be added to the final bill, and the account will be sent to collections, and the Client will be charged for all collection and/or attorney fees.
We will gladly recommend a service or device suited to your needs based on our IT knowledge and your budget. In the end, we cannot choose a service or device for you. That is your choice, and hopefully, our assistance will help you make an educated decision.
In the unfortunate event of a mistake, failure, or error caused by RemoteOver.com, you agree to notify RemoteOver.com so we can be aware of the situation and allow us to work with you to find the best way for resolution and mutual satisfaction.
You agree to defend, indemnify and hold remoteover.com its directors, officers, employees, agents, and affiliates harmless from any and all claims, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, in any way arising from or related to your use of the services or your violation of the terms.
